1. Who you are contracting with
These Terms are a legal agreement between you (or the business you represent, the “Customer”) and JAXN Intelligence (Pty) Ltd, a company registered in South Africa (registration number 2026/309131/07) (“JAXN Intelligence”, “we”, “us”). They govern your access to and use of our software products, data, reports and websites (together, the “Service”). By subscribing to, accessing or using the Service you accept these Terms.
JAXN Intelligence (Pty) Ltd and JAXN Capital are two separate legal entities. JAXN Capital is a proprietary trading business; it is not a party to these Terms, does not provide the Service, and takes no payment through this site. Nothing in these Terms creates any relationship with JAXN Capital.
2. What the Service is
The Service is business-to-business software and market-data. It includes our subscription products — currently Herald (a daily market-structure report) and Odyssey (a market-microstructure terminal) — together with any related data, analytics, charts, commentary and documentation. These are informational research and analytics tools intended for professional users who make their own decisions.
3. Not financial advice
This section is important. By using the Service you acknowledge and agree that:
- The Service provides information and analytics only. It is not, and must not be relied on as, financial, investment, trading, legal, accounting or tax advice, nor a recommendation, solicitation or offer to buy or sell any financial instrument.
- JAXN Intelligence is not a registered financial services provider, is not authorised under the Financial Advisory and Intermediary Services Act, and does not render financial services as defined in that Act. We do not act as your adviser, broker, portfolio manager or agent.
- We do not manage money or assets on your behalf, we do not hold client funds, and we do not place, route or execute any orders or trades for you.
- All trading and investment decisions are yours alone. You are responsible for your own due diligence and for obtaining independent professional advice appropriate to your circumstances. Trading in commodities, derivatives and other financial instruments carries a high risk of loss.
4. Subscriptions, billing and renewal
- The Service is sold on a monthly subscription, per seat, in South African Rand (ZAR), at the prices shown on our pricing page or as otherwise agreed in writing for a custom arrangement.
- Subscriptions renew automatically each month until cancelled. Card payments are collected through our payment processor; where agreed, we may instead issue an invoice for payment by electronic funds transfer (EFT).
- Fees are payable in advance for each billing period. We may change prices on at least 30 days’ notice; a change takes effect from your next renewal, and continued use after that is acceptance of the new price.
- If a payment fails or is not received, we may suspend or stop delivery of the Service until the account is brought up to date.
Cancellations and refunds are dealt with in our Refunds & Cancellation Policy, which forms part of these Terms.
5. Payment processing
Card payments are processed by a third-party payment provider. Your card details are handled by that provider under its own terms and security standards; JAXN Intelligence does not receive or store your full card number. We are responsible for the Service; the provider is responsible for the payment transaction.
6. Your licence and acceptable use
Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business purposes, limited to the number of seats you have paid for. You must not:
- resell, sublicense, redistribute, publish or make the Service or its outputs available to any third party, except as expressly permitted in writing;
- share seat credentials, or exceed your licensed number of users;
- scrape, copy, mirror, reverse-engineer or build a competing or derivative product from the Service or its data; or
- use the Service unlawfully, or in a way that harms or interferes with it or other users.
7. Intellectual property
The Service, and all software, data compilations, models, methodologies, charts, text and branding within it, are owned by JAXN Intelligence or its licensors and are protected by intellectual-property laws. Nothing in these Terms transfers any ownership to you; you receive only the limited licence in clause 6.
8. Data, accuracy and availability
We take care to build a useful and accurate Service, but the Service is provided on an “as is” and “as available” basis. Market data may be sourced from third parties, may be delayed, and may contain errors or gaps. We do not warrant that the Service, its data or its outputs are accurate, complete, current, uninterrupted or error-free, and we give no guarantee of any particular result. Some products are offered in beta and may change.
9. Limitation of liability
To the maximum extent permitted by law, JAXN Intelligence is not liable for any indirect, incidental, special or consequential loss, or for any trading or investment losses, lost profits, or loss of data, arising from or connected to your use of (or inability to use) the Service or any reliance on its information. Our total liability to you for any claim connected to the Service is limited to the subscription fees you paid to us in the three months before the event giving rise to the claim. Nothing in these Terms excludes any liability that cannot lawfully be excluded.
10. Suspension and termination
You may cancel at any time as set out in the Refunds & Cancellation Policy. We may suspend or terminate your access if you materially breach these Terms (including non-payment or prohibited use). On termination your licence ends and you must stop using the Service; clauses that by their nature should survive (including 3, 7, 9 and 11) continue to apply.
11. Governing law
These Terms are governed by the laws of the Republic of South Africa, and you submit to the jurisdiction of the South African courts.
12. Changes to these Terms
We may update these Terms from time to time. The current version is always posted here with its effective date. Material changes take effect at your next renewal, and continued use after the effective date means you accept the updated Terms.
